While retaining as much confidentiality as possible, we use our contacts as well as databases of potential buyers, outreach to potential strategic acquirers, we will also work with you to determine if the buyer of your company is a current employee, all to find as many potential acquirers as possible.
World Class Marketing
We will help you create a custom video that allows you to explain the unique value proposition and what your company does in your own voice. Our marketing expert also has deep experience in making documentaries and telling stories and will help you to present your business and yourself in the best possible light. Potential buyers will already have a high degree of buy-in before ever engaging in a conversation. Studies have shown people are more trusting of someone if they know what they look like, regardless of what you look like.
Management Education on M&A
If you haven’t been through an M&A transaction there are a lot of unexpected twists and turns that may be overly stressful if you aren’t aware they are going to occur. We will walk you through the overall process and then keep you appraised of what is coming next at each step, you will never feel like you are behind the learning curve or unsure of what is happening. Even if you have been through a transaction previously, we will make sure you are up to speed on what is next during the entire process. Also we will help you wade through the terminology and jargon used in a transaction so you can cut through the noise and make a business decision on what to do next.
Your Own General Counsel
We have an experienced M&A lawyer who also has experience as the General Counsel for the Lehman Brothers Private Equity Group who has been involved in literally hundreds of deals. In some cases he can act as your lawyer on the transaction for far less than a normal fee, but will at least act as your General Counsel overseeing your transaction’s legal process as part of our standard fee. This provides an extra set of eyes on the documents to make sure the deal you struck is the deal that is documented and keeps an Apex Advisor in the loop to continue to put pressure on people to adhere to the timeline we set.
Timelines
We will set and manage everyone to a timeline that you agree to. Birddogging the various parties and keeping them to the schedule is a critical factor in keeping your deal on track to closing and eliminating the biggest risk for the deal to die, time.
We Are Your Sherpa
The process of selling your company can be incredibly distracting from running your company (which is already a full time job). We are happy to lean in to help take as much off your plate so you don’t lose sight of the business. This means working with your internal finance and accounting team, officer manager or other employees that have access to key information we will need to provide a potential buyer.
Process Overview:
This is a pretty typical process and timeline for a transaction, obviously time for each step depends on how quickly we are able to retrieve information and get other parties to respond to our requests or draft documents.
Apex Assessment – Typically 2 weeks after we receive the requested information.
Management Meeting – We schedule a meeting with the appropriate people in your company (likely just you) to go through the Apex Assessment and discuss what we see as your best options regarding an exit (either go to market or work on specific areas to put the company in the best position to sell).
Confidential Information Memorandum and Teaser Sheet -Typically 2 weeks after receiving the information we request in addition to what you provided for the Apex Assessment we need to complete a first draft. During this process we will request that you or someone from the company provide write-ups for sections that you will have knowledge of, yes you will get some homework but won’t be terrible we promise. We will assist on this as much as we can.
